These Terms of Use (the “Terms”) govern access to and use of the Aidoya website, mobile applications, and related services (collectively, the “Platform”) operated by Aidoya Technologies Inc. (“Aidoya,” “we,” “us,” or “our”). By accessing the Platform, joining the waitlist, creating an account, or using a live feature, you agree to these Terms.
If you do not agree, do not access or use the Platform. Aidoya is currently preparing for launch. Provisions concerning live task postings, payments, helpers, and transactions apply when those features are enabled.
1. What Aidoya does
Aidoya is a technology marketplace intended to connect people seeking help with independent local helpers who may choose to perform appropriate everyday tasks. Aidoya is not a moving company, courier, home-repair company, medical provider, emergency service, employment agency, staffing company, insurer, or professional adviser.
Aidoya does not itself perform, supervise, direct, guarantee, or insure a task. A task requester and a helper are responsible for evaluating whether a task is appropriate, lawful, safe, and within the helper’s actual skills and qualifications.
2. Eligibility and accounts
You must be at least 18 years old and legally able to enter into these Terms. You may not use the Platform on behalf of a child or permit a minor to use an account. You must provide accurate information, protect your login credentials, and promptly notify us of unauthorized access.
We may request information to verify identity, eligibility, location, payment status, or other account details. Verification may be performed by Aidoya or a service provider. Verification is not a guarantee of a person’s identity, character, safety, skill, licensing, insurance, or future conduct.
3. Prohibited and sensitive tasks
Users may not post, accept, facilitate, or complete tasks that are illegal, unsafe, deceptive, abusive, or outside the Platform’s permitted categories. The following are prohibited unless Aidoya expressly authorizes a specific category in writing:
- Medical and healthcare services: diagnosis, treatment, nursing, injections, medication administration, medical transport, physical or mental health counseling, therapy, handling of bodily fluids, or any service requiring a healthcare license.
- Emergency or crisis services: 911 or emergency response, police, fire, ambulance, rescue, suicide or crisis intervention, urgent medical assistance, or any situation involving an immediate threat to life, health, or property. In an emergency, contact the appropriate emergency service directly.
- Dangerous work: weapons, explosives, hazardous chemicals, asbestos, electrical or gas work, roofing, structural work, high-risk construction, unsafe heights, confined spaces, or tasks requiring specialized safety training or equipment.
- Regulated or licensed services: legal, financial, tax, immigration, professional engineering, licensed contracting, security, private investigation, or other professional services unless the Platform expressly supports the category and the provider meets applicable requirements.
- Childcare and vulnerable-person care: babysitting, unsupervised childcare, elder care, personal care, guardianship, or supervision of a person who may not be able to protect their own safety.
- Controlled or age-restricted items: controlled substances, illegal drugs, weapons, alcohol, tobacco, nicotine, cannabis, regulated pharmaceuticals, or delivery of items that require age or identity verification unless expressly supported by Aidoya.
- Illegal, harmful, or deceptive activity: theft, fraud, harassment, stalking, discrimination, trafficking, evasion of law enforcement, impersonation, money laundering, unauthorized access, or any request to violate another person’s rights.
- High-risk personal access: requests requiring a helper to enter a private residence, access sensitive records, handle cash or financial credentials, transport a person, or handle irreplaceable valuables unless the feature and safety rules expressly allow it.
Aidoya may remove a task, restrict an account, or contact appropriate authorities when we reasonably believe a task or activity presents a safety, legal, or fraud risk. We do not promise to identify every prohibited task.
4. Personal safety
Do not use Aidoya for an emergency. Meet in a safe and lawful location, tell a trusted person about relevant plans, avoid sharing unnecessary personal information, and do not proceed if circumstances feel unsafe. Do not share passwords, payment credentials, government identification numbers, or access codes except through an expressly supported and secure flow.
Users are responsible for making their own safety decisions. Aidoya’s profiles, ratings, verification indicators, messaging, task details, and completion PIN are risk-reduction features, not a promise of safety or successful performance.
5. Independent helpers and marketplace relationships
Unless a separate written agreement states otherwise, helpers are independent third-party service providers and are not Aidoya employees, agents, partners, or representatives. Nothing in the Platform creates an employment, agency, joint venture, franchise, fiduciary, or exclusive relationship between Aidoya and a helper.
Helpers are responsible for their own tools, qualifications, permits, licenses, insurance, taxes, expenses, and compliance with applicable laws. Requesters are responsible for accurately describing tasks, locations, timing, access requirements, and any known risks.
6. Identity verification and screening
Aidoya may use identity verification, document review, fraud checks, or third-party screening where available and legally permitted. A verification result is limited to the information and time available to the relevant process. It is not a certification, endorsement, employment decision, or guarantee.
If Aidoya obtains or uses a consumer report for a permissible purpose under applicable law, including the Fair Credit Reporting Act, additional notices, authorization, and adverse-action procedures may apply. The applicable notice will control for that process.
7. Task postings, user content, and reviews
You are responsible for the accuracy, legality, and safety of task descriptions, photos, audio, messages, ratings, reviews, and other content you submit (“User Content”). Do not submit another person’s personal information or image without permission.
You grant Aidoya a non-exclusive, worldwide, royalty-free license to host, reproduce, format, display, and use User Content only as reasonably necessary to operate, secure, improve, and promote the Platform, subject to the Privacy Policy. You retain ownership of your User Content.
Reviews must reflect genuine experiences. Do not create fake reviews, pay for positive reviews, review your own service, coordinate misleading reviews, threaten another user over a review, or suppress legitimate negative feedback. Aidoya may remove content that is unlawful, fraudulent, abusive, private, irrelevant, or inconsistent with consistently applied moderation rules.
8. Payments, fees, cancellations, and taxes
When payment features are enabled, payment processing may be provided by a third-party payment processor. Aidoya may charge a task reward, service fee, processing fee, cancellation fee, or other amount disclosed before confirmation. The final in-app checkout screen controls the applicable amount.
Payment authorization, holds, releases, payouts, refunds, and cancellations are subject to the applicable in-app rules and the payment processor’s terms. Aidoya may pause, reverse, or review a transaction where we reasonably suspect fraud, error, a prohibited task, or a safety issue.
Helpers are responsible for reporting and paying taxes and complying with any business, licensing, or registration obligations that apply to them. Aidoya does not provide tax advice.
9. Disputes between users
Aidoya may provide support tools, records, reporting channels, or a dispute process, but Aidoya does not guarantee that it will resolve every dispute or that any user will receive a particular result. Users remain responsible for communicating honestly and preserving evidence related to a task.
Nothing in these Terms limits a right that cannot lawfully be limited. Any arbitration, class-action waiver, venue, governing-law, or small-claims provision must be finalized for Aidoya’s actual state of incorporation, operating locations, and consumer-law requirements before live transactions begin.
10. Intellectual property
The Platform, including its software, design, trademarks, text, graphics, logos, and other materials, is owned by Aidoya or its licensors and is protected by applicable law. Except for the limited right to use the Platform as permitted by these Terms, no license is granted.
11. Third-party services and links
The Platform may use or link to third-party services for authentication, hosting, payments, email, maps, analytics, identity verification, or other functions. Third-party services are governed by their own terms and privacy notices. Aidoya is not responsible for third-party services that it does not control.
12. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” AIDOYA DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND THAT A TASK, HELPER, REQUESTOR, PAYMENT, VERIFICATION RESULT, OR COMMUNICATION WILL BE SAFE, LAWFUL, TIMELY, OR SUCCESSFUL.
AIDOYA DOES NOT PROVIDE MEDICAL, EMERGENCY, LEGAL, FINANCIAL, TAX, SECURITY, CHILDCARE, ELDERCARE, OR OTHER PROFESSIONAL SERVICES THROUGH THE PLATFORM. DO NOT RELY ON AIDOYA FOR PROFESSIONAL OR EMERGENCY ASSISTANCE.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDOYA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR OPPORTUNITY, ARISING FROM OR RELATED TO THE PLATFORM, A TASK, A USER, OR A THIRD-PARTY SERVICE.
Any aggregate liability limitation, if used, must be reviewed and adjusted for applicable consumer-protection laws, personal-injury claims, payment obligations, and other non-waivable claims before launch. Nothing in these Terms excludes liability that cannot legally be excluded.
14. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Aidoya and its affiliates, officers, directors, employees, contractors, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from your User Content, your misuse of the Platform, your breach of these Terms, your violation of law, or your relationship with another user.
15. Suspension and termination
We may suspend, restrict, or terminate access to the Platform for violations of these Terms, suspected fraud, safety concerns, legal requirements, extended inactivity, or operational reasons. You may stop using the Platform at any time. Provisions that by their nature should survive termination will survive.
16. Changes and contact
We may update these Terms as the Platform develops. We will post the updated Terms and change the effective date. If a material change requires notice under applicable law, we will provide it through an appropriate channel.
